1. About these terms
These Terms of Service govern access to and use of KR Invoice Pro, including the marketing website at krinvoicepro.com and the application at app.krinvoicepro.com. The service is provided by KR Digital Dynamics (Pty) Ltd, registration number 2025/448130/07 ("we", "us" or "our").
"You" means the person using the service and, where an account is opened for a business, the business represented by that person. "Customer content" means the records, documents, files and other information supplied through your account.
Before creating an account or purchasing a subscription, read these terms and the plan details presented to you. Acceptance must be recorded through the registration or purchase process. Visiting our marketing website does not, by itself, create a paid subscription.
An expressly agreed written service agreement takes priority over these terms where it addresses the same matter. The accepted order or subscription confirmation determines the plan, price and billing period. Mandatory legal rights always take priority.
2. Eligibility and account authority
You must have legal capacity to enter into an agreement. If you act for a business, you confirm that you are authorised to create the account, accept these terms and administer the service on its behalf. The service is intended for business use.
Provide accurate registration and billing information and keep it current. Do not impersonate another person or use an account without permission. The account holder is responsible for identifying its authorised users and the permissions they need.
3. Accounts and security
Keep credentials confidential and use a strong, unique password. Do not share a user's sign-in credentials with other people. Review access when a person's responsibilities change or when they leave your business.
Notify us promptly of suspected unauthorised access or misuse. We may verify identity and authority before changing access or disclosing account information. We will not ask you to send your password to support.
You are responsible for activity you authorise and for reasonable account-security precautions. This does not remove our responsibility for the security obligations that apply to us or make you liable for a compromise caused by our failure to meet those obligations.
4. Service and licence
KR Invoice Pro provides business tools for managing customers, quotes, sales orders, invoices, payments and related records. Available functions depend on your selected plan and the features actually released.
While your account is authorised and subject to these terms, we grant you a limited, non-exclusive right to access the service for your business operations. This right does not transfer ownership of the software or permit resale of the service unless separately agreed.
You need a compatible browser, internet connection and equipment. Your own connectivity, device and third-party service charges are your responsibility. A feature shown as planned or forthcoming is not included until released or expressly committed to in an agreed order.
5. Plans, limits and trials
Current plan descriptions are available on the Pricing page. Review the features, usage limits, trial conditions and charges presented when you select a plan. Your accepted subscription confirmation records the terms of that purchase.
A free plan or trial may have limits on records, users, storage or features. The length of a trial and what happens when it ends must be disclosed before it starts. A trial will not become a paid subscription without your agreement to the payment and renewal terms.
If you reach a disclosed limit, you may need to reduce usage or upgrade to continue the affected activity. We will not charge for an upgrade without your authorisation. Downgrading may reduce features or limits; the impact and effective date must be explained before the change is confirmed.
6. Fees, payments and renewals
Before you confirm a paid subscription, we will disclose its price, currency, billing period, applicable taxes, payment method and whether it renews automatically. You authorise only the charges and recurring arrangement you accept. Automatic renewal applies only where it is expressly disclosed and agreed.
Keep billing details current and pay valid charges when due. If a payment fails or an amount is overdue, we may request an updated payment method and, after reasonable notice and an opportunity to resolve the issue, restrict paid features or suspend the account as described below.
Contact us promptly about a disputed or incorrect charge, with the relevant transaction reference. We will investigate billing errors. Raising a genuine dispute does not waive your legal rights, and this clause does not impose an additional deadline on any statutory remedy.
Price changes apply prospectively. We will give advance notice of a change affecting a renewal, including the new price and the options to cancel or change plan. We will not retrospectively change the price of an already paid subscription period.
7. Cancellation and refunds
You may request cancellation through any cancellation facility provided in your account or by contacting support@krinvoicepro.com. We may verify your authority and will confirm the request and the effective date. Do not send passwords or payment card details.
Unless you request immediate closure or a different arrangement applies under mandatory law or your accepted order, cancellation stops the next renewal and access continues until the end of the current paid period. No new renewal charge is due after cancellation takes effect.
Any fixed-term commitment, lawful cancellation charge or special refund condition must be disclosed before you subscribe. These terms do not create an undisclosed cancellation fee or waive any applicable cooling-off, early-cancellation or service-quality right.
Refunds will be assessed according to applicable law, the accepted order and the circumstances, including billing errors or our failure to provide the agreed service. Cancellation alone does not automatically guarantee a refund for a period already used. If we permanently discontinue a paid service without providing an agreed replacement, we will refund the unused prepaid portion, subject to any greater remedy required by law.
8. Business records and tax responsibilities
You are responsible for reviewing customer details, document content, quantities, prices, discounts, tax settings, bank details and payment allocations before using or issuing a document. Check generated totals and reports against your source records.
You remain responsible for your business's VAT status, tax treatment, accounting decisions, statutory recordkeeping and filing obligations. KR Invoice Pro is a software tool and does not provide legal, accounting or tax advice. Seek appropriate professional advice where needed.
Recording a payment in the application does not, by itself, mean that funds have cleared. Verify actual receipts with your bank or payment provider. Creating a document, attaching a signature or sending an email does not automatically establish its legal validity or delivery to the recipient.
Your responsibilities do not exclude our obligation to provide the agreed service with the standard of care required by applicable law.
9. Acceptable use
Use the service lawfully and only for authorised purposes. You must not:
- Create fraudulent documents, impersonate others or upload information you are not entitled to process.
- Use the service for unlawful spam, harassment, discriminatory abuse or infringement of another person's rights.
- Upload malicious software or deliberately interfere with security, availability or other customers' accounts.
- Bypass plan limits or access controls, scrape restricted data, or attempt unauthorised access.
- Copy, resell or reverse engineer the service except where expressly permitted by agreement or applicable law.
- Run intrusive security testing against the live service without written authorisation. Report suspected vulnerabilities privately through our support contact.
We may investigate credible misuse and take proportionate steps to protect the service and affected users.
10. Customer content and ownership
You retain your rights in customer content. You confirm that you have the necessary rights and lawful authority to upload it and instruct us to process it.
You grant us permission to host, store, reproduce, transmit and otherwise process customer content only as necessary to provide and support the service, follow your authorised instructions and comply with applicable law. This permission extends to service providers engaged for those purposes under appropriate obligations; it does not transfer ownership of your records to us.
We do not obtain permission under these terms to publish your confidential business records or use them in advertising. Any separate use requiring permission must be agreed separately.
11. Privacy and confidentiality
Our Privacy Policy explains how personal information is handled. It is a privacy notice, not blanket consent to all processing. Where you determine why and how customer information is processed, you are responsible for the applicable lawful grounds, notices and instructions.
We will handle confidential customer content for the permitted service purposes and restrict access to those who need it for their authorised duties. Disclosure may be necessary to authorised providers or where law requires it, subject to applicable safeguards.
Any agreed data-processing terms supplement these terms. Contact us before submitting special personal information or other regulated data that may require additional arrangements.
12. Third-party services and payments
You may choose to connect or use independently operated services where supported. Review their terms, fees, security requirements and privacy notices before authorising access. Enable only permissions needed for the intended function.
Third-party availability and transaction outcomes can affect connected features. We do not control an independent provider's decisions or processing times, but remain responsible for our own obligations and any liability that cannot lawfully be excluded.
Unless expressly agreed otherwise, using KR Invoice Pro does not appoint us as your bank, payment custodian or collection agent. Online payment functionality is available only where an applicable provider and supported feature are enabled.
13. Availability, support and changes
We will use reasonable care in providing and maintaining the service. Interruptions may occur because of maintenance, faults, security incidents or dependencies. Unless a separate service-level agreement is expressly agreed, these terms do not promise uninterrupted availability or a particular response or resolution time.
Report problems through Contact Us or our support email with a description of the issue and relevant non-sensitive references. Support availability and any plan-specific commitments are those disclosed for your plan or agreed separately.
We may improve or change the service. We will give reasonable advance notice of material changes adversely affecting a paid subscription where practicable, explain available options and respect applicable cancellation and remedy rights. Urgent security or legal changes may need to take effect sooner.
14. Suspension and termination
We may restrict or suspend access where reasonably necessary to address a serious security risk, unlawful use, material breach of these terms, overdue payment or a legal requirement. The action should be proportionate to the issue.
Where practicable and lawful, we will explain the reason, provide notice and allow a reasonable opportunity to resolve the issue. Immediate action may be needed to prevent harm or comply with law. You may contact support to request review, and we will restore access when the grounds for restriction have been resolved.
We may terminate an account for an unresolved material breach after reasonable notice, or immediately where the seriousness of the circumstances or law requires it. If we terminate for our own convenience rather than your breach, we will provide reasonable notice, a reasonable opportunity to retrieve your records and a refund of the unused prepaid portion.
15. Account closure, exports and retention
Before closing an account, arrange copies of the records needed for your business and legal obligations. Use available export functions or contact support for the formats and assistance currently offered. We will explain any agreed assistance charges before incurring them.
Cancellation of renewal and deletion of an account are different actions. Ask explicitly if you require account closure or deletion. We will explain the applicable retrieval arrangements and deletion schedule when handling closure, subject to security, legal and contractual requirements.
Closure does not automatically erase records that must lawfully be retained. Active records, backups and statutory records may have different retention periods, as described in our Privacy Policy and applicable processing arrangements. Maintain your own appropriate business copies.
16. Our intellectual property
The software, website design, branding, documentation and materials supplied by us are owned by us or our licensors. Except for the access rights expressly granted, no intellectual property rights are transferred to you.
You may use generated business documents for your lawful business purposes. This does not permit copying or reselling our underlying software or template assets as a separate product. Your own logos, signatures and content remain yours or their respective owners'.
17. Responsibility and liability
Please read this section carefully. It explains limits on responsibility. It does not exclude mandatory consumer rights or liability that the law does not permit us to limit.
Each party is responsible for loss to the extent caused by its breach of these terms, negligence or other legally actionable conduct, subject to applicable law. Reasonable steps should be taken to limit avoidable loss.
To the extent permitted by law, we are not responsible for losses caused solely by your unlawful instructions, inaccurate input, unauthorised changes you make, or independent services outside our control. This does not apply to the extent our own breach or conduct caused or contributed to the loss.
Nothing in these terms excludes or limits liability for fraud, wilful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited. Nothing removes a remedy or guarantee available under applicable consumer protection law.
No guarantee is made that using the service will produce a particular financial, tax, collection or business outcome. Any additional limitation in a separately agreed agreement must be lawful and brought to your attention before acceptance.
18. Governing law and disputes
These terms are governed by South African law, subject to any mandatory rights or laws that apply to you. South African courts with appropriate jurisdiction may hear disputes; this does not remove your right to use a regulator, tribunal or other forum available under mandatory law.
Please contact us with a description of a dispute and the resolution you seek so we can attempt to resolve it. This request does not require you to delay urgent relief, waive a right or exhaust an internal process where the law does not require it. Arbitration or mediation requires a separate lawful agreement.
19. Updates and general provisions
The date and version at the top identify this published set of terms. We will give reasonable advance notice of material changes affecting an existing subscription and obtain fresh acceptance where required. Changes do not retrospectively remove accrued rights or alter an already paid period's price.
If you do not agree to a material change, contact us about cancellation before it applies. Any continuing-use acceptance mechanism must be lawful and adequately disclosed; publication of a new page alone does not establish acceptance of every change.
If a provision is invalid or unenforceable, the remaining provisions continue to apply where legally possible. A delay in enforcing a right does not automatically waive it. Provisions concerning outstanding lawful payments, confidentiality, ownership and dispute resolution continue after termination where their nature requires it.
